1. Agreement to Terms

By accessing or using Gate/AI's API gateway service ("Service"), provided by LAND MK 1, LLC ("Company", "we", "us", or "our"), you ("Developer", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service.

2. Description of Service

Gate/AI provides an API gateway service designed specifically for small mobile app developers who lack their own networking or cloud infrastructure teams. Our Service acts as an intermediary layer between your mobile applications and various backend services, APIs, and cloud resources.

3. Privacy and Data Handling

We are committed to protecting your privacy and the privacy of your users:

• Gate/AI does not store, retain, or log any data that passes through our API gateway
• We operate as a pass-through service only
• Any data transmitted through our Service remains between you and your end destinations
• We may collect minimal technical metadata necessary for service operation (such as request counts for billing purposes) but do not store request contents

While we strive to provide reliable service:

• We do not guarantee specific uptime percentages or service availability
• Service performance may vary based on provider availability and network conditions

5. Acceptable Use

You agree not to misuse the Service. Prohibited activities include, but are not limited to, attempts to bypass rate limits, unauthorized access, or using the Service for illegal purposes.

6. Billing and Usage

Certain features may be subject to billing. Usage limits and pricing are provided in your account dashboard and documentation.

7. Limitation of Liability

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM

8. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access to the Service immediately if you violate these Terms or for any other reason at our discretion. Upon termination, your right to use the Service will cease immediately.

9. Dispute Resolution

Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in Oakland County, Michigan, in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in class action lawsuits.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to conflict of law principles.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
